Law of associations and foundations
The law of associations and foundations governs the formation, operation and dissolution of non-profit and public-benefit legal entities. Our firm assists founders, committees and foundation boards in Geneva in the legal structuring of their association or philanthropic project, and in managing the related governance questions. We act in both advisory and litigation matters, with particular attention to the liability of governing bodies.
FORI Avocat·e·s SA advises the founders and directors of associations (Art. 60 et seq. CC) and foundations (Art. 80 et seq. CC) in drafting articles and regulations, organising internal governance and dealings with the competent supervisory authority, cantonal or federal. We also assist existing bodies with amendments to their articles, mergers or dissolutions.
We advise the governing bodies of associations and foundations on the liability questions that may arise from their office, as well as on steps relating to tax exemption for a public-benefit purpose, in coordination with the cantonal tax administration. Finally, we act in internal disputes that may arise between members, bodies or beneficiaries.
